Supreme Court Holds That Pure Omissions Are Not Actionable Under Rule 10b–5(b)

Moab Partners, L.P., and held that SEC Rule 10b–5(b) prohibits only affirmative misstatements and half-truths (i.e., an affirmative statement that is misleading because it omits information). It does not prohibit pure omissions. In our view, this decision should not have a significant practical impact on future securities litigation.
